Hi-
In the last week my 95 940 wagon is having a transmission problem. When moving from a started position the car runs in first gear when it shifts into 2nd gear it doesn;t catch property and its like the car is running in neutral for a second. If you gun it at this time ther is a horrible vibrating/grinding sound. Then when it catches there isnt a problem shifting to the next gears like on the highway. The problem is especially bad when going up hills with alot of load and it seems to do it when the car is warm or cold. The car only has 120,000 mi.

Is the fluid level correct?
What colour is the fluid? It should be reddish.
Does the fluid smell of burning?
How long is it since the fluid was changed? Volvo service spec is every 20,000 miles.

I think im gonna drop the tran pan and put new fluid in. What do I need to buy other than Tran fluid? Do i need a new gasket etc or just use old one?

Whenever you disturb a gasket on an oil or water system you must use a new gasket.

So heres the update.
I drained the Tranny to find there ther was about 3/4 a quart of black fluid. I replaced with 3.5 quarts of fresh tranny fluid and the car drives a hell of a lot better than before. When acclerating from a stopped position the car still has trouble gettin into 2nd gear. 3rd 4th shift fine. What do u recommend next. The car is drivable but it i fear i might be damaging it even more.

Did you flush the oil cooler or just do a drain and refill? If the fluid was so bad I would recommend that you do it again as there will be lots of undesirables in the transmission.
Then in about 2 - 3000 miles do it again as the new fluid will be picking up all the grungey bits and you will be able to get more of them out.
For the next three fluid changes you would help things if you did a flush each time.
